1. Scope of Application
These General Terms and Conditions (AGB) apply to all services provided by Photostudio AI Co. Ltd. ("Provider") through the caddyPro platform. By using our services, you agree to these terms.
2. Service Description
caddyPro is a SaaS platform for golf course caddy management. Services include:
- Caddy profile and workforce management
- Online caddy booking portal for golfers
- Payment processing and verification
- Smart caddy queuing system
- Caddy rewards and performance tracking
- Analytics and reporting dashboards
- Integration with third-party tee time systems
3. Registration and Account
To use caddyPro, golf courses must register for an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
4. Subscription and Pricing
Service pricing is based on the subscription plan selected during onboarding. Pricing details are provided upon request during the demo process. The Provider reserves the right to adjust pricing with 30 days advance notice.
5. Payment Terms
Subscription fees are invoiced monthly or annually as agreed. Payment is due within 14 days of invoice date. Late payments may result in service suspension after a 7-day grace period and written notice.
6. Data Protection
The Provider processes personal data in accordance with the Privacy Policy and applicable data protection laws (GDPR, PDPA Thailand). The golf course operator acts as data controller for golfer and caddy data, with the Provider acting as data processor.
7. Intellectual Property
All intellectual property rights in the caddyPro platform, including software, design, and documentation, remain with the Provider. The golf course receives a non-exclusive, non-transferable license to use the platform for the duration of the subscription.
8. Availability and Support
The Provider strives for 99.5% platform availability. Scheduled maintenance will be communicated in advance. Support is available via email during business hours. Critical issues are addressed with priority response times.
9. Liability
The Provider's liability is limited to the amount of fees paid in the 12 months preceding the claim. The Provider is not liable for:
- Indirect or consequential damages
- Loss of profit or data (beyond reasonable backup measures)
- Issues caused by third-party services or integrations
- Force majeure events
10. Termination
Either party may terminate the subscription with 30 days written notice to the end of the current billing period. Upon termination:
- Access to the platform will be revoked
- Data export will be available for 30 days
- All outstanding fees become immediately due
11. Governing Law
These terms are governed by the laws of the Federal Republic of Germany. Place of jurisdiction is the registered office of the Provider, unless mandatory consumer protection laws require otherwise.
12. Changes to Terms
The Provider may update these terms with 30 days advance notice. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
